Tabby User Terms and Conditions

1. Tabby offers customers a variety of innovative consumer purchasing solutions, including Buy Now Pay Later (“BNPL”) services; Cashback services and other consumer solutions offered by the Company through any of its consumer channels (each individually a “Tabby Service” and collectively the “Tabby Services”).
2. Services provided by Tabby
Buy now, pay later:
2.1 If you apply for and are approved by us for an account (“Tabby Account”), you will be able to use our Buy Now Pay Later Service to purchase products and/or services (“Products”) with online or offline retailers (“Merchants”) using the Buy Now Pay Later Service.
2.2 The Buy Now Pay Later service allows you to pay the total cost of a product (“Total Amount”) in small, equal amounts paid on specific agreed dates (“Due Dates”) as fixed amounts (“Instalments”).
2.3 You may also apply to use the “Buy Now, Pay Later” service when paying with certain merchants.
2.4 Approval of your exit request will be subject to our review of your submitted data and circumstances.
2.5 We expressly reserve the right, at our sole discretion, to refuse your order for the Buy Now Pay Later Service at any time without giving any reasons for doing so.
2.6 If your Tabby account has sufficient balance or your “Buy Now, Pay Later” request is approved (as applicable), we will pay the merchant on your behalf the total amount for the products you purchase, and subject to these Terms, you agree to pay us the total amount in full through the agreed installments.
2.7 The amount due from you to Tabby at any given time will be the total amount, less any installments (if any) you have already paid (“Total Amount Due”) and will be shown as a figure in your Tabby Account.
2.8 It is important to note that benefits that your bank or credit card issuer may offer you in connection with the purchase of products from merchants may not be available for purchases made through us, and we do not represent or warrant that any purchase protection, extended warranty, or other benefits offered by these third parties will be available to you when you make purchases through the Tabby Services.
2.9 Our Buy Now, Pay Later Services will only be available to eligible individuals. Whether you are eligible to use our Buy Now, Pay Later Services will be determined at our discretion when you attempt to purchase using the Service, and may also be based on other factors, such as our assessment of your creditworthiness, transaction history, merchant account history, or any other reason, provided you meet the following criteria:
2.9.1 You must be a resident of the Kingdom of Saudi Arabia and have a permanent residence address;
2.9.2 You are 18 years of age or older;
2.9.3 You must have an active email account registered in your name;
2.9.4 You have an active mobile phone number registered in your name;
2.9.5 to provide all information and documents requested by us; and
2.9.6 You acknowledge that you will pay all your financial obligations arising from your purchases, in accordance with the payment terms agreed upon at the time of purchase.
2.10 We may, at our sole discretion, offer you offers and benefits such as discounts, special events, product previews, sales promotions, merchant offers, free samples, and gifts. All such offers and benefits will be subject to the terms and conditions notified to you.
Tabby Cashback Service:
2.11 If you have a Tabby Account, you can also choose to use our Tabby Cashback service separately or in conjunction with our Buy Now Pay Later service.
Other services provided by Tabby:
2.12 If you have a Tabby Account, you may also choose to use any of the other Tabby Services currently available to customers.
2.13 Other Tabby Services may be subject to additional terms (“Tabby Services Terms”) which you will be required to enter into in conjunction with these Terms before obtaining the Tabby Service.
2.14 The Tabby Terms of Service and these Terms together constitute your agreement for the Tabby Services with Tabby.
2.15 If there is any conflict between the Tabby Services Terms and terms relating to the same subject matter in relation to the Tabby Services, the Tabby Services Terms shall prevail.
3. Information you provided
3.1 You agree that when you provide us with information, you will at all times provide true, accurate, current and complete information, and you agree not to provide false information regarding your identity, any information relating to your account or any other relevant details.
3.2 You also agree to keep your Tabby account information up-to-date and accurate. You acknowledge that any residential address, email address, or mobile phone number you provide to us is your current address. You must notify us immediately if you change your residential address, email address, or mobile phone number.
3.3 We store information about your past purchases and transactions through our Services for the purposes of complying with the law, to improve your use of our Service and Platform, and to provide you with offers and benefits.
3.4 You agree that Tabby may, at any time, make inquiries about you and request any information about you that Tabby requires to provide you with the Tabby Services, including, but not limited to, your credit score or credit index, which Tabby deems appropriate, from any financial institution, credit bureau, reference agency (including SIMAH), or any other source Tabby deems necessary, to assess your eligibility to use the Tabby Services. A credit score may also be requested in connection with extending or increasing your spending limit, renewing an account, conducting an account collection, or when investigating disputes.
3.5 You hereby grant Tabby (and organizations acting on its behalf) permission to make such inquiries and obtain such information about you without requiring additional consent or notification from you, for the purposes of determining your eligibility for the Tabby Services.
3.6 We may also disclose any information we have collected or report about your payment history and credit record to any credit bureau (including the Saudi Credit Bureau (SIMAH) or any other agency licensed and approved by the Saudi Arabian Monetary Authority (“SAMA”), in accordance with our obligations under applicable law or as imposed by SAMA.
4. Payment methods
4.1 Before completing any transaction on your behalf using the Tabby Services, you must agree to these Terms and any specific terms that apply to that transaction.
4.2 By clicking the “Buy Now” button, you indicate that you have read, understood and accepted these Terms in full and that you are committed to paying the total amount, including any fees and any other transactions that may be charged to your account, in accordance with these Terms.
4.3 You acknowledge that a down payment must be made before you are accepted for the Tabby Services, in which case the down payment is due and payable immediately.
4.4 Subsequent installments (or the first installment if there is no advance payment) will be due according to the billing cycle specified and shown in your account.
4.5 We may not send you any notifications or reminders of any upcoming payment dates. Payment instructions will be available either on our website, on the App or on your billing statement.
4.6 Depending on the Tabby Service, Tabby will accept various funding sources, including debit or credit cards, but not prepaid cards. We reserve the right to refuse to accept any debit or credit card whose expiration date is within twelve (12) months of the date of purchase of the Product.
4.7 We may require you to register more than one card or funding source to your Tabby Card, to be used in connection with your installment payments and we will ask you to select a default option so that installments are taken directly from it.
4.8 If you are unable to charge your Virtual Card or selected funding source, including installment plans or registered subscriptions, you hereby authorize Tabby to charge directly from any other funding source registered in your Tabby Account at Tabby's sole discretion.
4.9 You may at any time pay the total amount due, in whole or in part, without any additional prepayment fees.
4.10 We will at all times determine, in our absolute discretion, which payment methods are acceptable, and we may not accept any particular payment method at any time and for any reason.
4.11 If you use a credit card or other revocable payment method, you hereby waive any rights to such chargebacks or reversals.
4.12 We may delay the availability of credit to your Tabby Account in the amount of your payment until we receive the required payment in clear funds.
4.13 If your credit or debit card has been replaced, cancelled, or is no longer valid, or you wish to use a different card, you must log in to the Tabby Platform and provide an eligible card at least 3 business days before the next installment due date.
4.14 It is your responsibility to ensure that the credit or debit card you provide for payment at the time of purchase or at any time thereafter remains valid until the last installment is paid, has sufficient available balance or available credit to pay all installments and accepts pre-authorisations that may be made under these Terms.
4.15 You have the right to stop payment on the added credit or debit card by providing a replacement card in the Tabby app at least 3 business days before the next installment due date.
5. Buy now, pay later:
5.1 By selecting the Buy Now Pay Later (“BNPL”) payment option on the checkout page, you authorize us to charge the eligible card you added and provided to us at checkout (or that you later provide to us) over time for the number of installments you added at checkout.
5.2 The payment date and amount of each installment we charge will be shown on the Website before you complete your purchase.
5.3 You authorize us or any of our authorized service providers to:
5.3.1 Debit the advance payment amount from your designated card on or after the date of purchase;
5.3.2 Deduct the value of each installment on the due date of each installment from your specified card;
5.3.3 Deduct the total amount due from your selected card:
5.3.4 In the event of default, the installment due will be deducted from or the total amount due from your card specified under these Terms.
5.4 If the direct debit of the installment or the total amount due fails, you must make the required payment immediately.
6. Default
6.1 Subject to applicable law, which may require us to notify you or give you the right to remedy your default, we may declare you in default for any of the following reasons:
6.1.1 If you fail to pay any installment by the due date;
6.1.2 If you commit any act or omission which we deem to significantly affect your ability to pay or our ability to collect amounts due from you;
6.1.3 Revoke your consent to electronic communications; or
6.1.4 Death (God forbid) or if you become legally incapacitated.
6.2 If you default, you acknowledge that we have the right to require you to pay the total remaining amount of all outstanding installments immediately.
6.3 You acknowledge that we have the right to request immediate payment of this amount by debiting the credit or debit card you have provided for pre-authorization under these Terms.
7. Payment option
7.1 We may initiate debt collection proceedings and require you to pay any (non-judicial) costs we incur in collecting any overdue payment. These costs will be identified in your Tabby account and added to the total amount.
7.2 In addition, we may require immediate payment of the total amount due, and unless prohibited by applicable law, we may also require you to pay the costs we incur in any collection proceedings, plus reasonable attorneys' fees if we refer your Tabby Account for collection to an attorney or collection agency.
7.3 The option to extend the due date of any installment (“Maturity Date Extension Option – https://tabby.ai/toc/extension”) may be granted as a service provided by Tabby at Tabby’s sole discretion.
8. Our rights
8.1 We reserve the right to set an overall purchase limit for you which you will find shown on your account when you log in to our website or when you open the mobile application,
8.2 This limit is the total amount available to you for purchases from retailers, which decreases with each purchase you make.
8.3 We may change the purchase limit from time to time at our sole discretion, based on a variety of factors including, but not limited to, your creditworthiness, payment history and transactions.
8.4 We reserve the right to decline any transactions for any reason at our sole discretion. We are not responsible for any rejection of your account or refusal to process any transaction.
8.5 You hereby authorize Tabby to transmit payment card data of international payment system operators that you have provided to us when filling out forms on the Website or otherwise, and to receive confidential information from these operators, in particular - a report containing a result from: (1) AMEX; and/or (2) Visa; and/or (3) Mastercard and generated using payment card data and transactions made using these cards, which you share and provide data to Tabby, so that we can make a decision on concluding a loan agreement.
8.6 By using the Tabby Services, you authorize Tabby, in coordination with the merchant, broker, or agent through whom you used the “Buy by Tabby” service, to downgrade or cancel your membership or subscription, or any service that will be provided later.
8.7 By allowing Tabby to do the above, you also authorize Tabby's partner merchant, broker or agent, to coordinate with vendors, suppliers, or manufacturers – or all of them together – to enforce cancellation or downgrade.
8.8 We have the right at any time, upon notice to you, to assign (either absolutely or by guarantee) the sale or transfer of your Tabby Account or any amounts due on your Tabby Account to one or more third parties, either individually or as part of a group of accounts.
8.9 The other party or parties to whom we make any assignment, sale or transfer shall be entitled to all of our rights under these Terms, to the extent they were assigned, sold or transferred.
8.10 You acknowledge and agree that we may assign, sell, or transfer our obligations under these Terms or in relation to your Tabby Account (whether in whole or in part), or assign, sell, or transfer your contract with us (whether in whole or in part) to another party or parties. This clause 9.10 constitutes our prior notice of any such assignment, sale, or transfer and your prior consent to any such assignment, sale, or transfer of your contract in each case, in accordance with Article 255 of the Saudi Civil Transactions Law.
8.11 The other party or parties to whom we make any such transfer of our obligations under these Terms or in relation to your Tappy Account (whether in whole or in part) or transfer of your Contract in whole shall assume our obligations under these Terms or in relation to your Tappy Account, to the extent transferred.
8.12 We may disclose any information relating to your Tabby Account and the contract with us, including information relating to payment history and credit history, to any person or entity to whom we make any sale, assignment or transfer.
8.13 You acknowledge and agree to the following under these Terms:
8.13.1 Any security interests granted by Tabby in favour of HSBC Saudi Arabia, as applicable from time to time, each of which is acting as security agent in the Kingdom of Saudi Arabia (“Murabaha Security Agent”) over all of its present and future rights, title and interest from time to time in all receivables, accounts payable, book debts and other debts and all proceeds and other rights to receive money under or in connection with these Terms;
8.13.2 1 Completing and registering such security arrangements in the Unified Registry of Rights to Movable Property established in the Kingdom of Saudi Arabia, which is subject to the regulations issued pursuant to Minister of Commerce Resolution No. 512 dated 14/08/1441 AH (corresponding to April 7, 2020 AD) and published in Umm Al-Qura newspaper on 17/08/1441 AH (corresponding to April 10, 2020 AD), or any other subsequent entity or forum;
8.13.3 The Murabaha Security Agent (or any recipient or delegate) exercising any of its rights under these Security Arrangements;
8.13.4 Pay any amounts due under these Terms, as directed by the Murabaha Security Agent in writing from time to time;
8.13.5 not to claim or exercise any right of set-off or counterclaim in connection with these Terms; and
8.13.6 You have been notified of the Guarantee created, or to be created, in accordance with the terms and conditions set out in these Terms, in accordance with applicable law.
8.14 You acknowledge and agree that we may exercise the same rights against you that a merchant may exercise based on the Products.
9. Tabby Cashback (Cashback Service)
9.1 We may offer you the opportunity to receive a percentage of the value of purchases back (whether using our Buy Now Pay Later service or other payment methods) when you make a purchase from stores that have agreed to participate in the Cash Back Service (“Partner Stores”).
9.2 To be eligible for cashback on purchases from partner stores, you must:
9.2.1 Register for a Tabby Account, log in to Tabby, use shopping links within the Tabby App or Website, and complete your purchase transaction during the same shopping session you initiated after clicking on the shopping link.
9.2.2 Do not visit other websites before completing your purchase or use coupons not provided by Tabby, otherwise your purchase may be linked to a service other than Tabby and you may not earn cashback on your purchase.
9.2.3 Do not disable “cookies” on your computer, otherwise you will not be able to earn cash because cookies are used to authenticate the user and verify their account is eligible for cashback.
9.2.4 Purchase products from our partner stores in accordance with the terms and conditions set out on the applicable retailer's page via the store directory on our website/app.
9.3 We reserve the right to investigate any purchase transactions, referral activity, or interaction with any Tabby Property that we believe, in our sole discretion, constitutes or constitutes an abuse of the Service.
9.4 We reserve the right to revoke any cashback, block further cashback rewards and/or bonuses, and/or terminate any customer account that we believe, in our sole discretion, is abusing or misusing the Service.
9.5 Any failure to comply with these Terms, any fraud or abuse relating to the accrual or receipt of Cashback, Rewards and other rewards, or any misrepresentation of any information provided to the Company by you or anyone acting on your behalf, may result in termination of the Account and forfeiture of any accrued Cashback Rewards.
9.6 If we have any reason to suspect fraudulent activity associated with your account, we reserve the right to delay or withhold refunds. Any suspected or actual instances of fraudulent activity will be escalated and reviewed in accordance with our fraud process.
9.7 Under these Terms, you acknowledge and agree that there are purchases from our partner stores that are not eligible for the Cash Back Service.
9.8 Partner Stores will determine which purchases are excluded from this service at their sole discretion, and the list of exclusions is subject to change at any time without prior notice.
9.9 You also acknowledge and agree that it is your duty to confirm with the relevant partner store whether or not the purchase will benefit from this service before completing the purchase.
9.10 You acknowledge and agree that you will not be eligible for cashback on purchases from Partner Stores using Store Credits.
9.11 The cashback rate (including currency type) for each purchase will be published on the merchant page of the applicable Partner Stores on our Website or App, and this rate is subject to change at any time without prior notice.
9.12 The cashback amount will be determined based on the purchase price of the goods excluding any taxes (including, but not limited to, VAT), customs duties, shipping or delivery fees, processing fees or any other service fees applied by the Partner Store, which you will be obligated to pay.
9.13 You acknowledge and agree that it is your responsibility to confirm with the applicable Partner Store the cashback rate before completing your purchase.
9.14 While we endeavour to ensure that the cashback rate stated on the merchant page of the Partner Store on our Website or App is correct and up to date, to the fullest extent permitted by law, we do not guarantee the accuracy of such information and hereby exclude any and all warranties (express or implied) in relation to such information and all liability in respect of any reliance on such information.
10. Withdraw cashback
10.1 The cashback amount for each qualifying purchase will remain in the wallet in your Tabby account (“Tabby Wallet”) “pending”, within 5 days of the Partner Store confirming a qualifying purchase.
10.2 The cashback amount for each eligible purchase will be added to your Tabby Wallet on the date (“Credit Date”) that falls within 5 days of the date of:
10.2.1 The period after which you can no longer return eligible goods purchased in accordance with the Partner Store's terms and conditions of sale has expired.
10.2.2 The Retail Partner reconfirms that the purchase is valid (excluding any order cancellations or refunds),
10.3 After the credit date has expired, you may take one of the following actions:
10.3.1 Transfer all or part of the Tabby Wallet Balance to pay the Installment Balance in accordance with the requirements in paragraph 11.6;
10.3.2 withdraw all or part of your balance to your designated local bank account in accordance with the requirements in clause 11.8; or
10.3.3 Keep all or part of your balance in the Tabby Wallet for up to 12 months after the credit date.
10.4 You acknowledge that you may not transfer all or any part of your Tabby Wallet Balance to another Tabby Wallet or use the Balance to pay someone else's BNPL Installment Balance.
10.5 Cashback amounts will be deducted from your Tabby wallet on a first-in, first-out basis.
10.6 To be eligible for a transfer or withdrawal, the total cashback earned from eligible cashback transactions, and remaining in your account, must be greater than or equal to the minimum balance required, as set out in the Tabby App.
10.7 Your Tabby Wallet balance does not constitute funds held by us for your benefit, does not accrue interest, and does not form part of any deposit protection scheme. Your rights and entitlements are limited only to the contractual rights set forth in these Terms.
10.8 You can only transfer an amount from your Tabby Wallet to your designated local bank account if:
10.8.1 Your nominated bank account is held at a branch of a financial institution licensed to conduct business in the jurisdiction in which you reside;
10.8.2 Your bank account with a branch located in the same jurisdiction as the Partner Stores where you made the purchases for which you received cashback credits;
10.8.3 The withdrawn amount is greater than the amount specified in the “Minimum Eligible Transfer Balance”
10.8.4 You must provide all information we request to complete the funds transfer, including, but not limited to, any information or documents required to comply with our Know Your Customer obligations.
10.9 Any request to withdraw an amount from your Tabby Wallet to your designated local bank account is final once submitted and cannot be reversed.
10.10 You are also solely responsible for ensuring the accuracy of the information provided to us in relation to your designated local bank account.
10.11 You acknowledge that we will have no liability to you or obligation to correct any transfer completed in accordance with your instructions.
10.12 If the bank you have selected refuses to transfer funds for any reason (except if the refusal is due to an error on our part), we may charge you an administrative fee, which you will be informed of if applicable, and which will be deducted from your Tabby Wallet.
10.13 Cashback amounts will expire if they are not transferred to your designated local bank account within 12 months after the relevant credit date.
10.14 It is your responsibility to keep track of cashback amounts in your Tabby Wallet, which may expire. You also agree that we are not obligated to notify you prior to the expiration of any cashback amounts. We will not be liable for the value of cashback amounts that expire in accordance with these Terms.
10.15 You are responsible for all taxes that may apply to cashback amounts credited to your Tabby Wallet. You should obtain independent tax advice regarding the tax treatment of such amounts.
10.16 We may, from time to time, add or deduct from your Tabby Wallet when necessary, appropriate, or for justifiable reasons. This includes, but is not limited to, circumstances in which the cashback amount has been incorrectly added to your Tabby Wallet, or when we determine, in our sole discretion, that you have conducted your transactions in an illegal, unfair, or in violation of these Terms, the terms and conditions set out on the applicable Partner Store page on our Website or App, or any other system.
10.17 We may suspend or terminate your account when we reasonably believe that you have violated these Terms, the terms and conditions set out on the Partner Store page applicable to the Website or any applicable system.
10.18 We reserve the right to suspend or terminate your account when it is necessary, or, we believe acting in our sole discretion, reasonable to do so, in order to comply with or satisfy any applicable law, regulation, court order or regulatory requirement.
11. Tell your friends and win program
11.1 By participating in Tabby's Tell Your Friends and Win Promotional Program (“Tell Your Friends and Win Program”), you agree to the terms and conditions set out in Section 12 (“Eligibility Terms and Conditions”).
11.2 Tabby may terminate, cancel, suspend or modify the Tell Your Friends & Earn Program or these eligibility terms and conditions at any time, in its sole discretion.
11.3 The Tell Your Friends & Earn Program allows new or existing Tabby users (“Referrer”) to invite a new user (“Referrer”) who meets the valid referral conditions as defined in Clause 12.5 below (“Qualifying Purchases”).
11.4 The Referrer and/or Referred will receive a prize (“Referral Bonus”) once they have fulfilled the Qualifying Purchase Terms and Conditions as set out below.
11.5 The eligibility terms and conditions for the Program are as follows:
11.5.1 The Program runs from June 20, 2022, at 10:00 AM (GMT+4) to January 1, 2024, at 11:59 PM (GMT+4). This is what we call the "Promotion Period."
11.5.2 The Referrer shares a unique personal referral link with the Referred User.
11.5.3 The Referrer must not have previously used any of Tabby's Services or Payment Method, including but not limited to, making a purchase using one of Tabby's Payment Methods and downloading the Tabby App.
11.5.4 The Referrer must make a Qualifying Purchase with the first shopping transaction using Tabby’s payment methods within the first 30 days of registration through the Referral Link.
11.5.5 The qualifying purchase value is unique to any individual merchant and is determined by the minimum qualifying basket size set by the merchant for Tabby's payment methods.
11.5.6 The referral bonus applies to in-store and online transactions and will be awarded within one day after the referrer makes their first purchase and payment via Tabby.
11.5.7 The referral bonus will be added to your Tabby balance, which can be used for future payments or withdrawn to your linked bank account.
11.5.8 Tabby reserves the right to disqualify any user with delinquent balances from earning rewards through the Tell Your Friends and Earn program. Tabby encourages users to adopt healthy financial habits and discourages consumers from taking on more debt than they can repay.
11.5.9 Tabby reserves the right to refund or cancel the referral reward if the referred user cancels or returns the order in full within 14 days.
11.5.10 The Referrer may only refer family members, friends and personal acquaintances who meet the eligibility requirements for the Program.
11.5.11 If we determine that the Referrer may have posted their Personal Referral Link in a manner that results in or is intended to encourage people outside the Referrer's circle of friends/acquaintances to register, Tabby may disqualify the Referrer from participating in the Tell Your Friends and Earn Program and cancel any successful referrals at its discretion.
11.5.12 The Tell Your Friends and Win Program is available to individuals who are legal residents of the Kingdom of Saudi Arabia and who are eighteen years of age or older at the time of subscription.
11.5.13 Tabby may disqualify any Referrer or Referred User from the Tell Your Friends & Win Program if we believe, in our sole discretion, that they are attempting to abuse, misuse, or defraud the Program, violate the eligibility terms and conditions, or provide us with false information. If a Referrer or Referred User's participation in the Tell Your Friends & Win Program is terminated, all Rewards will be forfeited.
12. Dispute Rights
12.1 The Merchant shall handle any complaints relating to the Products exclusively, and you hereby agree that Tabby shall have no liability or responsibility to you in respect of any matter relating to the performance, merchantability or suitability of the Products themselves.
12.2 We will credit your Tabby Account with the relevant balance after we receive written confirmation from the merchant of a refund due for a product.
12.3 Under no circumstances will we be required to pay you any amount credited to your account as part of a refund.
12.4 You may submit complaints regarding our services in writing through the contact form on our website.
13. Restricted Use and Intellectual Property Rights
13.1 We own or retain all intellectual property rights in our Website and App, as well as all intellectual property and other rights in all material (including all text, graphics, logos, audio and software) available on or through our Website and App (“Content”).
13.2 Your use of the Services, our Website or our App does not grant you – and does not transfer – any rights, title or interest in them, nor does it grant you the right to use the Content for your benefit.
13.3 However, we grant you a license to access and use the Website and App as set out in these Terms and, where applicable, as expressly authorized by us.
13.4 You are expressly prohibited from:
13.4.1 use our Site or App other than in accordance with these Terms and for purposes other than using the Tabby Services;
13.4.2 Resell or sublicense the use of our Website or App;
13.4.3 Reverse engineer, copy, or reproduce our Website or App or any Content; or
13.4.4 modify, adapt, develop or perform any derivative work thereof, decompile, disassemble, open or otherwise perform any work that is restricted by the intellectual property rights in our Website, Application or Content.
13.5 Reproduction or redistribution of our Site, Application, or any Content is prohibited and may result in civil or criminal penalties, or both.
